Terms of Service
These Terms of Service ("Terms") govern your access to and use of the SoftPhonez Android app, the SoftPhonez web application at softphonez.com, and related services (together, the "Service"), operated by SoftPhonez ("SoftPhonez", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What SoftPhonez is
SoftPhonez is a software front-end for your own Twilio account. It lets you make and receive calls, send and receive SMS/MMS, run bulk-SMS campaigns, record calls, and manage voicemail using a phone number you provision and pay for through Twilio. SoftPhonez is not a telecommunications carrier and does not provide phone numbers or carrier connectivity — Twilio does.
2. Eligibility & your account
- You must be at least 18 years old (or the age of majority where you live) to use the Service.
- You are responsible for keeping your login credentials secure and for all activity under your account.
- You agree to provide accurate information and to keep it up to date.
- Notify us promptly at support@softphonez.com if you suspect unauthorized use of your account.
3. Your Twilio account is your responsibility
To use the Service you connect your own Twilio account by providing your Twilio credentials. You acknowledge and agree that:
- You are solely responsible for your Twilio account, your phone numbers, and all charges Twilio bills you for calls, messages, and number rental.
- Twilio bills you directly at its published rates. SoftPhonez's subscription fee is separate and does not include carrier/traffic costs.
- You must comply with Twilio's Acceptable Use Policy and Messaging Policy, including A2P 10DLC registration where required.
- We are not responsible for Twilio outages, number suspensions, message filtering, or carrier-level decisions outside our control.
4. Acceptable use & anti-spam compliance
You are the sender of every message and the caller on every call you make through the Service. You are solely responsible for the legality of your communications. You agree that you will not use the Service to:
- Send unsolicited messages or calls ("spam"), or contact people who have not given you the legally required consent.
- Violate any applicable law or regulation, including the U.S. Telephone Consumer Protection Act (TCPA), CAN-SPAM, CTIA messaging guidelines, GDPR, or the equivalent laws in your jurisdiction.
- Send messages or place calls to numbers on any applicable Do-Not-Call or opt-out list, or after a recipient has asked you to stop.
- Transmit content that is unlawful, fraudulent, deceptive, harassing, threatening, defamatory, obscene, or that infringes anyone's rights.
- Distribute malware, phishing links, or engage in any scam or illegal scheme.
- Send prohibited message categories (e.g. illegal substances, certain financial or gambling content) where restricted by carriers or law.
- Resell, sublicense, reverse-engineer, or attempt to disrupt or gain unauthorized access to the Service.
You are responsible for obtaining and maintaining proof of recipient consent, for honoring opt-out requests promptly, and for including required sender identification and opt-out instructions in your messages. We may suspend or terminate your access if we reasonably believe you are violating this section.
5. Call recording is your responsibility
Call recording is optional and off by default. Recording laws vary widely — many jurisdictions require the consent of all parties before a call may be recorded. You are solely responsible for complying with all applicable recording, wiretapping, and privacy laws, including notifying parties and obtaining consent (for example, by using the in-app greeting feature). You agree only to record calls you are legally permitted to record, and you indemnify us against claims arising from your recordings.
6. Subscriptions, billing & refunds
- Some features require a paid subscription. Prices and what's included are shown in the app before you purchase.
- Subscriptions are purchased and billed through Google Play on Android. They renew automatically unless cancelled, and you can manage or cancel them at any time in your Google Play account under Subscriptions.
- Cancelling stops future renewals; access continues until the end of the current billing period.
- Refunds, where offered, follow Google Play's refund policy and applicable law.
- Your SoftPhonez subscription is separate from, and in addition to, the amounts Twilio charges you directly for actual usage (calls, messages, and number rental).
7. Service availability
We work to keep the Service reliable but do not guarantee uninterrupted or error-free operation. The Service depends on third parties (including Twilio and Google) and on your device and network. We may modify, suspend, or discontinue features at any time. We are not liable for missed calls or messages caused by factors outside our reasonable control, including carrier issues, device settings, network conditions, or operating-system battery restrictions.
8. Intellectual property
The Service, including its software, design, logos, and content (excluding your data and your communications), is owned by SoftPhonez and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. You retain ownership of the content you create and send; you grant us only the limited rights necessary to operate the Service for you (e.g. storing and syncing your messages and recordings across your devices).
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CALL OR MESSAGE WILL BE DELIVERED. The Service is not intended for emergency calls; do not rely on it to contact emergency services (such as 911 or 112).
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOFTPHONEZ AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR CARRIER CHARGES (INCLUDING TWILIO CHARGES) OR FOR ANY MESSAGES OR CALLS YOU SEND.
11. Indemnification
You agree to indemnify and hold harmless SoftPhonez and its owners, employees, and suppliers from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your communications, your call recordings, your violation of these Terms, or your violation of any law or the rights of any third party.
12. Termination
You may stop using the Service and delete your account at any time — directly in the Android app under Settings → Delete Account, or as described in our Privacy Policy. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure for us, or use the Service in a way that could harm others. On termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you in the app or by email. Your continued use of the Service after changes take effect means you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of Islamabad, Pakistan, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located there for any dispute arising out of or relating to these Terms or the Service, except where prohibited by applicable law.
